These Terms & Conditions govern your use of the Special Factory website and any services provided by Special Factory ("Special Factory," "we," "us," or "our"). By accessing our website, requesting a demo, or purchasing or using our services, you agree to these Terms & Conditions.

If you do not agree with these Terms & Conditions, please do not use our website or services.

Acceptance of Terms

By accessing or using the Special Factory website or services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.

If you are using our services on behalf of a business or organization, you represent that you have authority to accept these terms on its behalf.

Our Services

Special Factory provides LeadRescue, a managed lead response and recovery service for local service businesses, including HVAC, Roofing, and Plumbing companies. LeadRescue may include lead capture, speed-to-lead response, automated follow-up, appointment booking, appointment confirmations and reminders, missed-call recovery, no-show recovery, proposal follow-up, lead reactivation, human escalation, pipeline management, monitoring, and related operational support, depending on the selected service plan.

Our services may include software configuration, workflow automation, communication automation, appointment scheduling, lead management, and related support.

Specific services, pricing, implementation requirements, service limits, and other commercial terms may be agreed separately with each customer.

Appointments and Demo Requests

When you request a demo or schedule an appointment with Special Factory, you agree to provide accurate and current information.

Appointments are subject to availability. Special Factory may reschedule or cancel an appointment when reasonably necessary and will make reasonable efforts to provide notice.

Submitting a demo request does not create a customer relationship or guarantee that Special Factory will provide services.

7-Day Lead Recovery Pilot

LeadRescue may be offered with a 7-day Lead Recovery Pilot before the selected monthly service plan begins. The monthly service fee is $0 during the pilot. The setup fee is paid before setup begins and consists of a non-refundable Implementation Fee and a refundable setup portion as specified in the applicable pricing plan.

If the customer cancels during the pilot, the refundable setup portion will be refunded minus any actual usage costs incurred during the pilot. The Implementation Fee is non-refundable. If the customer continues after the pilot, the selected monthly service plan will begin according to the applicable pricing plan. After the pilot ends, the setup fee is fully earned and is no longer refundable.

Any applicable SMS, calling, phone number, carrier, messaging registration, email, third-party, AI, API, or other usage-based charges are separate from LeadRescue setup and monthly service fees and may apply based on actual usage.

Customer Responsibilities

Customers are responsible for providing accurate information and for maintaining appropriate access to the systems, accounts, contact information, calendars, and business data required to provide the services.

Customers are also responsible for determining that their use of automated communications complies with all laws, regulations, industry requirements, and applicable platform policies.

Customers must have an appropriate legal basis and required permissions or consents before using automated SMS, calls, emails, or other communications with their leads or customers.

Customers must not use Special Factory to send unlawful, deceptive, abusive, fraudulent, unsolicited, or otherwise prohibited communications.

Communications and Consent

Special Factory may provide tools that automate communications through SMS, email, voice, or other communication channels.

The customer is responsible for ensuring that contacts have provided any consent required by applicable law before receiving communications.

Where applicable, customers must provide recipients with appropriate disclosures and reasonable methods to opt out of further communications.

Special Factory may suspend or restrict communication features when we reasonably believe they are being used in violation of applicable law, platform requirements, or these Terms & Conditions.

For communications subject to consent requirements, recipients may have rights to revoke consent or opt out. Customers are responsible for honoring those requests and maintaining appropriate records of consent and opt-out requests.

Third-Party Services

Special Factory may integrate with or rely on third-party platforms and services, including CRM systems, communication providers, calendar systems, hosting providers, payment processors, and other technology providers.

Third-party services are subject to their own terms, policies, availability, and technical limitations.

Special Factory is not responsible for interruptions, failures, policy changes, pricing changes, or other issues caused by third-party services outside our reasonable control.

No Guarantee of Results

Special Factory provides automation tools and services designed to improve lead response, follow-up consistency, appointment booking, and lead recovery.

However, we do not guarantee any specific number of leads, appointments, sales, customers, revenue, conversion rate, response rate, or other business result.

Business results depend on many factors outside our control, including lead quality, advertising, pricing, market conditions, customer demand, sales performance, service quality, and the customer's own operations.

Intellectual Property

The Special Factory website, branding, designs, content, LeadRescue automation systems, workflow designs, templates, processes, software configurations, documentation, and other proprietary materials provided by Special Factory are owned by or licensed to Special Factory unless otherwise stated.

Customers retain ownership of their business data, customer information, leads, contacts, appointments, and other business records provided to or stored through the LeadRescue service, subject to the rights and licenses reasonably necessary for Special Factory to provide, maintain, support, and operate the contracted service.

You may not copy, reproduce, modify, distribute, sell, publish, reverse engineer, or commercially exploit Special Factory materials without our prior written permission, except where permitted by applicable law.

Acceptable Use

You agree not to use the website or services to:

- Violate any applicable law or regulation.

- Send fraudulent, deceptive, abusive, or unlawful communications.

- Attempt to gain unauthorized access to systems or accounts.

- Interfere with the security or operation of the website or services.

- Upload malicious software or harmful code.

- Infringe the rights of another person or organization.

- Abuse communication, automation, or messaging systems.

Suspension and Termination

Special Factory may suspend or terminate access to the website or services if a customer materially violates these Terms & Conditions, uses the services unlawfully, creates a security risk, or causes significant harm to our systems, providers, customers, or other users.

Where reasonably practical, we may provide notice and an opportunity to correct the issue before termination.

Termination does not affect provisions that by their nature should continue after termination.

Limitation of Liability

To the maximum extent permitted by applicable law, Special Factory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to the use of our website or services.

Special Factory does not guarantee uninterrupted, error-free, or continuously available services.

Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited under applicable law.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Special Factory and its owners, personnel, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the website or services, your violation of these Terms & Conditions, or your violation of applicable laws or third-party rights.

Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our services, business practices, legal requirements, or technology.

When we make material changes, we may update the Effective Date shown at the beginning of this page.

Your continued use of the website or services after updated Terms & Conditions become effective constitutes acceptance of the revised terms.

Governing Law

These Terms & Conditions will be interpreted and governed by the laws applicable to Special Factory's business and the applicable jurisdiction, without regard to conflict-of-law principles.

Any mandatory rights or protections provided to you under applicable law remain unaffected by this provision.

Service Agreement

Services provided to customers are subject to the applicable Service Agreement, which may define the selected service plan, fees, payment terms, pilot terms, implementation requirements, usage charges, support scope, service limitations, cancellation and refund terms, data ownership, and other applicable commercial terms. If there is a conflict between these Terms & Conditions and a signed Service Agreement, the Service Agreement will control to the extent of the conflict.
